Licensing Terms

1. Marketplace Items

Licensing and ownership terms differ depending on the type of item. The marketplace allows Sellers to upload and sell:

  • Downloads
  • Bookable Calls
  • Online Services
  • “Combo” type items (combinations of the above items types for added value)

Downloads

When you purchase a Downloadable Item from the marketplace you are buying the right to use that item in accordance with the Seller’s licensing terms. The license defines the specific terms of use for the download item – what you can and can’t do with the Item.

Bookable Calls

When you purchase a Bookable Call the Buyer purchases a number of “time units” (usually minutes) on a scheduled call with a Seller. So there is no transfer of ownership of time, however, if the call is recorded – the ownership and rights to the recording of the session is assigned to the Buyer in accordance with the Seller’s licensing terms.

The Buyer is granted all intellectual property rights, including but not limited to, copyright to the recording of the session, and the Seller waives any and all moral rights therein. All transfer and assignment of rights to the buyer is subject to payment for the item, so if order and payment is cancelled for any reason, then these rights are not transferred.

Online Services

When you purchase an Online Service for a customized Item, on order completion the Buyer receives the delivered item together with the intellectual property rights and copyright to the Item. The Seller agrees to assign all rights, title and interest in the delivered work to the Buyer in accordance with the Seller’s licensing terms, and the Seller waives any and all moral rights therein unless stated otherwise on the item page. This excludes the transfer of any reusable inputs and tools that the Seller uses in the normal course of delivering that service.

All transfer and assignment of intellectual property to the buyer is subject to payment for the Item, so if order and payment is cancelled for any reason, then these rights are not transferred.

Combination Items

These items are a combination of the 3 item types above and their ownership and licensing terms are therefore a combination of the parts that go into the end item.

2. License Options

The Seller retains ownership of the item but grants the Buyer a license in accordance with the licensing terms. The license is given by the Seller to the Buyer at the time of purchase. StackedGame is not a party to this license.

There are 2 basic license types that apply across all marketplace items: Personal and Commercial.

  • Personal Use Licenses allows Buyers to use the item for “personal use”. This is the default license type unless stated differently by the Seller on the item page.
  • Commercial Use License allows Buyers to use the item for “commercial use”, this includes development or business related activities where the purchased item is used in some way for profit.

3. Personal Use License

A Personal Use license grants the Buyer a non-exclusive, ongoing, worldwide license to use the Item for “personal use” – that does not involve some form of payment.

Can Do (what you can do with your purchased item):

  • Use the item for your personal use
  • Incorporate or modify the item into one End Product that can be accessed for free

Examples of allowable use include:

  • Using a game guide for personal use
  • Publishing your recorded gaming session on your free-access website
  • Publishing portions of a video game guide on your YouTube channel

Can’t Do (what you can’t do with your purchased item):

  • Can’t resell the item
  • Can’t redistribute, share or sub-license the item “as-is” or with modifications
  • Can’t superficially alter the item and then resell it
  • Can’t include the item in an End Product (for example, bundle) and sell it
  • Can’t use in “on-demand,” “made to order,” and “build it yourself” applications
  • Claim trademark over an item component that’s used in another End Product
  • Can’t use to promote any unlawful, discriminatory or offensive purpose

4. Commercial Use License

A Commercial Use license grants the Buyer a non-exclusive, ongoing, worldwide license to use the Item for “commercial use”.  Commercial use includes developer and business types applications that use and sell the item for profit.

Seller’s generally charge more for commercial licenses – so if want to use an item for these purposes but no commercial license option is defined – reach out to the Seller and they can add the commercial license as an “Item Option”.

Can Do (what you can do with your purchased item):

  • Use the item for your commercial use (developer or business)
  • Incorporate or modify the item into one End Product that involves some form of payment

Can’t Do (what you can’t do with your purchased item):

  • Can’t resell the item
  • Can’t redistribute, share or sub-license the item “as-is” or with modifications
  • Can’t use in “on-demand,” “made to order,” and “build it yourself” applications
  • Claim trademark over an item component hat’s used in another End Product
  • Can’t use to promote any unlawful, discriminatory or offensive purpose
